Please note that rnr.poker isn’t liable for any violations of this Agreement’s terms and conditions by any rnr.poker user, nor does it assume any responsibility related to the conduct of any user violating any policy or rule specified by rnr.poker in connection with the Poker Lounge.
1. TERMINOLOGY AND UNDERSTANDING
The following terms in this Agreement bear the following meanings (unless the context clearly indicates otherwise):
“Administrator” refers to a Club Manager or a Member authorized to manage and cancel Poker Tables, set the parameters of Poker Tables, schedule Poker Tables, and carry out other administrative tasks related to Poker Tables;
“Club” represents a poker club set up by a User via the Poker Lounge;
“Club Manager” denotes a User who forms a Club;
“Poker Table” signifies an online poker game using the Poker Lounge;
“Poker Tournament” represents an Poker Table that’s a tournament; and
“Member” indicates a User who is part of a Club but not the Club Manager.
You are a User;
The Poker Lounge is a Game;
The software created by rnr.poker concerning the Poker Lounge is part of the Software;
All login details associated with the Poker Lounge including account numbers, Club and User Ids, Club invitation codes, and the Poker Lounge passwords are Login Credentials.
2. CONTROL
rnr.poker retains control over:
The inception, maintenance, and termination of Clubs;
Allocating, maintaining or revoking Club Manager status;
Allocating, maintaining or revoking Member status; and
Allocating, maintaining or revoking Administrator status.
The conclusion of rnr.poker’s management regarding any aspect of a Club, or your use of the Poker Lounge (including your Club and membership status) is conclusive and won’t be open to scrutiny or appeal.
3. DUTIES OF CLUB MANAGER
If you’re a Club Manager, you must follow all instructions and guidelines about the Poker Lounge provided on the Site periodically.
Club Managers are representatives of rnr.poker and need to portray rnr.poker and the Poker Lounge positively to Members and the general public. You should refrain from any conduct that could tarnish rnr.poker’s reputation or adversely affect rnr.poker’s interests.
Besides, if you’re a Club Manager, you agree to:
Operate the Club responsibly and sincerely;
Safeguard your User account and access to Club management features from unauthorized use, without limiting your duties under the Terms & Conditions;
Provide primary support to Members for help on Club-related issues (excluding disputes between Members), and strive to resolve such issues (with the help of rnr.poker’s support team if needed);
Be the first point of contact for all disputes between Members relating to your Club and try to resolve such disputes without resorting to rnr.poker;
Treat Members fairly and respectfully;
Respect the privacy of Members and process their personal data in accordance with our Terms & Conditions;
Use member blocking only for blocking Members after considering the well-being of the Club;
If you’re a Club Manager, you should nominate one of its Members to succeed you in case you leave the Club or can’t perform your duties as Club Manager;
Immediately inform us of any known or suspected fraud, chip-dumping, collusion, money laundering, or any illegal or prohibited behavior which you become aware of in relation to your Club; and
On forming a Club, the Club Manager must choose a Club name.
In addition to Clause 3.4, the Club Manager mustn’t choose a Club name, logo, or image that:
is offensive, illegal, obscene, indecent, abusive, pornographic, slanderous, defamatory
4. MEMBER OBLIGATIONS
As a Member, you pledge to:
Execute your role responsibly and with utmost sincerity;
Ensure all interactions with other Members are fair, respectful, and considerate;
Respect privacy norms and handle fellow Members’ personal data in compliance with our Privacy Policy;
Secure your User account and Club management features against unauthorized access;
Contact your Club Manager as the first line of communication for all Club-related queries, concerns, and disputes;
Promptly report any suspected illegal activities such as fraud, chip-dumping, collusion, or money laundering to us, as outlined in our Terms & Conditions;
Refrain from any actions that might negatively affect the reputation of rnr.poker or its associated companies.
If you’re inviting others to join your Club, avoid spamming or intrusive solicitation methods. Every Member bears sole responsibility for the content of their emails.
5. PROMOTIONAL CONTENT
Using the Poker Lounge to promote any services or products other than rnr.poker’s (by linking to third-party websites or displaying third-party advertisements) is prohibited. Directing Members to play online poker on websites of rnr.poker’s competitors is not allowed.
Posting links on the Site to any third-party website that promotes a competitor of rnr.poker, implies an association or endorsement by rnr.poker, or violates any term of our Terms & Conditions is not permitted.
You’re allowed to link to the Site from your own website or from an email sent by you, given that it’s done fairly, legally, and without harming our reputation or taking undue advantage. You must not suggest any association, approval, or endorsement on our part where none exists. This linking right is non-transferable. We reserve the right to revoke this right at any time.
6. FINANCIAL BENEFITS
The the Poker Lounge is purely for personal entertainment purposes, whether you’re a Club Manager or Member, and must not be used to generate any financial profit or other monetary advantages for you or any other User. Prohibited practices include:
Establishing an escrow account or any similar online/offline system to distribute funds based on the outcome of any the Poker Lounge game or tournament;
Imposing or receiving a fee from any Member for Club membership;
Earning money or any other form of compensation from advertising revenue, without derogating from Clauses 5.1 or 5.2.
7. CONFIDENTIALITY AND USER IDENTIFICATION
By agreeing to these terms, you understand that the Poker Lounge games may include participants who are acquainted with each other or playing from the same physical location. You affirm that it is legal for you to partake in Poker Lounge in your current location.
Your rnr.poker player account User ID doubles as your Club Manager or Member ID, displayed to other Members and Managers in the the Poker Lounge lobby. As such, those who know your Club identity will also know your rnr.poker player account User ID. If you disagree with this, you must not use the Poker Lounge. Each user is only allowed a single, unique User ID.
rnr.poker reserves the right to review Club chat logs to ensure adherence to our Terms & Conditions.
We might share your personal information with third parties if we suspect fraudulent behavior (as detailed in Clause 8.1 below), but such sharing will always comply with our Privacy Policy.
You consent to receive emails about Club activities, such as game schedules, results, and standings. You can opt out of these emails at any time on a Club-by-Club basis. Unless you opt out from a particular Club’s emails, you’ll receive these emails even if you’ve opted out of receiving promotional or other emails related to the Site.
8. SYSTEM UPKEEP
Occasionally, rnr.poker may need to suspend the Poker Lounge for maintenance or other reasons specified in the Terms & Conditions. We will try to give notice of such suspensions. Such suspensions might necessitate the cancellation of scheduled games, for which the Club Manager isn’t responsible.
Members should understand that such suspensions are beyond the Club Manager’s control. Any queries regarding suspension should be directed to the Club Manager.
Club Managers agree to handle Member queries relating to any such suspensions.
You can unregister from a game at any time until two minutes before it’s scheduled to start. Failure to play a registered game without unregistering in time will result in a forfeit of your buy-in, with no refunds from rnr.poker.
9. DISHONEST PRACTICES
rnr.poker expects all users of the Poker Lounge to refrain from fraudulent or dishonest behavior. Committing, aiding, encouraging, or supporting any fraudulent, dishonest, or illegal behavior is strictly prohibited.
We take dishonest practices very seriously. Any user found engaging in fraudulent behavior may be reported to relevant authorities and any other measures rnr.poker may take under this Terms & Conditions.
The Club Manager must actively monitor Club activities for signs of fraudulent behavior and report any known or suspected fraudulent behavior in compliance with Clause 3.3.
Every Member should remain vigilant for signs of fraudulent behavior in their Club and report any known or suspected fraudulent behavior in compliance with Clause 4.1.
10. TEMPORARY HOLD AND CONTRACTUAL INFRACTIONS
Should we suspect you might be infringing any clause of these Terms & Conditions, or for any other valid cause, rnr.poker holds the right to promptly:
Limit or halt your access to the Site or any of its components, including but not limited to any Club in which you are a Club Manager or Member, or the overall the Poker Lounge;
Halt or cancel any Poker Table or any other Club-related event;
Put a Club’s operation on hold; and/or
Shut down a Club.
In the event of established infringement of any clause of these Terms & Conditions, rnr.poker holds the right to promptly:
Dissolve this Contract;
Restrict or permanently block your access to the Site or any of its components, including but not limited to any Club in which you are a Club Manager or Member, or the overall the Poker Lounge;
Halt or cancel any Poker Table or any other Club-related event;
Put a Club’s operation on hold or permanently shut it down;
Confiscate all funds in your User account;
Close your User account;
Initiate legal proceedings against you; and/or
Implement any other action rnr.poker deems necessary.
11. LIABILITY AND COMPENSATION
You agree to indemnify, protect, and hold rnr.poker and its shareholders, directors, and employees harmless from any claims, demands, liabilities, damages, losses, costs and expenses, including legal fees and other charges of any kind, that may arise due to:
Your infringement or alleged infringement of this Agreement, whether in part or in full;
Any violation or alleged violation by you of any law or third-party rights in connection with the Poker Lounge;
Any Fraudulent Behavior or alleged Fraudulent Behavior you’re involved in related to the Poker Lounge; and
Your use of the Poker Lounge or usage by any other individual accessing the Poker Lounge using your Login Credentials, whether authorized by you or not.
Under no circumstances, including negligence, shall rnr.poker be liable for any extraordinary, incidental, direct, indirect, or consequential damages (including damages for loss of business profits, business interruption, loss of business information, or any other monetary loss) arising from this Agreement, even if rnr.poker had prior knowledge of such potential damages or if such losses were reasonably foreseeable.
No part of this Agreement shall limit a party’s liability for personal injury or death resulting from their negligence, or for theft or fraud committed by that party.
12. MODIFICATION
rnr.poker reserves the right to revise or modify this Agreement or any part thereof at any time without prior notification. You will be bound by such amended Agreement 14 days after its posting on the Site. We recommend you check the Site regularly to review the terms and conditions of the current Agreement. Your sustained use of the Site signifies your consent to any amendments to the Agreement.
13. PARTIAL INVALIDITY
If a clause of this Agreement is deemed illegal, invalid, or unenforceable in any jurisdiction, it will not affect the legality or enforceability of the remaining provisions in that jurisdiction or the legality or enforceability of that or any other provision in other jurisdictions. If any provision is void but could be valid if some part of it were removed or altered, the provision in question shall apply with the necessary modification to make it valid.
14. TRANSFER OF RIGHTS
At any given moment and without any prior notification, rnr.poker holds the authority to transfer this Agreement, either in its entirety or portions of it. On the other hand, your rights and duties under this Agreement cannot be transferred by you.
